“THE NICARAGUA EDITION” TERMS & CONDITIONS

Purchase of: THE NICARAGUA EDITION, Nicaragua Nov 14-22, 2026

Please read the following terms and conditions carefully. Everything here is an

agreement between the CLIENT (you) and THE NICARAGUA EDITION Retreat hosted by Prana One LLC, 9808 Baden Lane, Austin, TX, 78727, USA

(hereinafter “THE NICARAGUA EDITION”). These terms, in addition to our privacy policy,

along with any other documents provided by THE NICARAGUA EDITION to the participant

constitute the entire agreement between the parties and the parties agree to be bound

by the terms of this agreement.

Tour Guides: THE NICARAGUA EDITION and her team members accompanying the trip

reserve the right to make additions and deletions as believed advisable or necessary for

the well-being of the group in their sole discretion.

Travel and Visa: The participant agrees that any travel and visa arrangements to/from

the retreat will be taken care of by the participant. The participant acknowledges that

THE NICARAGUA EDITION is not responsible or liable for any travel arrangements and

Visas.

Special Dietary Requirements: For safety and liability reasons, THE NICARAGUA EDITION & and its representatives cannot be responsible for directly accommodating

any food allergies, or dietary requirements and restrictions, and is not responsible for

any issues or problems associated with the same. All scenarios and special dietary

requests regarding food and drink, including allergies or dietary requirements and

restrictions, are the sole responsibility of the participant. While most meal

establishments can offer general options, THE NICARAGUA EDITION can’t promise we will

be able to accommodate all needs. Just in case, we recommend packing extra

food/snacks if personal dietary requirements cannot be met. Should a group member

have special dietary requirements, that group member shall be solely responsible for

any additional expense to their meal plan.

Conduct Expected: Each participant is expected to act responsibly and adhere to all

behavior guidelines established by THE NICARAGUA EDITION and the team. Any failure

to respond to the guidance of these terms can result in the immediate expulsion of the

offending participant. Any participant expelled for behavior or disciplinary issues will be

done so at their sole expense, and no refund will be available for any portion of the trip.

Additionally, participants shall hereby defend, indemnify, and hold harmless

THE NICARAGUA EDITION and team against any and all third-party claims arising out of any conduct or omission in breach of these terms and conditions or that otherwise

create liability for THE NICARAGUA EDITION .

Cancelation: All bookings are non-refundable.

Intellectual Property: All materials, trainings, workshops, masterclasses and coaching

provided to you as part of your Product or Program or Services which are the subject of

this Agreement are proprietary and may not be duplicated, copied, reproduced,

published or displayed in any form without the prior express written permission of

THE NICARAGUA EDITION .

The Parties agree that any information or documentation that contains intellectual

property belonging to THE NICARAGUA EDITION is conveyed by THE NICARAGUA EDITION

to the CLIENT for the completion of the Services and will remain the exclusive property

of THE NICARAGUA EDITION . Accordingly, the CLIENT is forbidden to disclose, distribute

or reproduce such information or documentation in its entirety or in part, without

THE NICARAGUA EDITION's prior written consent.

Video/Photographic Likeness: Any photographic, film, video likeness or audio

recordings of participants while on retreat may be edited and used by THE NICARAGUA EDITION.

Travel Insurance: THE NICARAGUA EDITION requires that you are covered

by adequate travel insurance for your arrangements. Such insurance at a minimum

should cover your losses sustained as a result of cancellation, medical issues, and the

event of accident or illness. If you choose to travel without adequate insurance cover,

you do so at your own risk and we will not be liable for any of your losses however

Arising.

Non-Responsibility: THE NICARAGUA EDITION and its employees, share holders,

agents, team, and representatives use third party suppliers to arrange some of its

retreats, transportation, sightseeing, lodging, and other services related to this trip.

THE NICARAGUA EDITION is an independent contractor and is not an employee, agent,

or representative of any of these suppliers. THE NICARAGUA EDITION may not own,

manage, operate, supervise, or control any transportation, vehicle, airplane, hotel or

restaurants, or any other entity that supplies services related to your retreat.

THE NICARAGUA EDITION is not affiliated with any other retreat host/operator. All

suppliers are independent contractors, and are not agents or employees or

representatives of THE NICARAGUA EDITION . All tickets, receipts, coupons, and vouchers

are issued subject to the terms and conditions specified by each supplier, and by

accepting the coupons, vouchers, and tickets, or utilizing the services, all customers

agree that neither THE NICARAGUA EDITION or its employees, agents, or representativesare or may be liable for any loss, injury, or damage to any retreat participant or their

belongings, or otherwise, in connection with any service supplied or not supplied

resulting directly or indirectly from any occurrence beyond the control of LIKEMINDED

RETREAT . THE NICARAGUA EDITION assumes no responsibility or liability for any delay,

change in schedule, loss, injury or damage or loss of any participant that may result

from any act or omission on the part of others; and THE NICARAGUA EDITION shall be

relieved of any obligations under these terms and conditions in the event of any strike,

labor dispute, act of God, or of government, nature, fire, war, whether declared or not,

terrorism, riot, pilferage, epidemic, illness, physical injury, quarantine, medical or

customs or immigration regulation, delay, or cancellation. THE NICARAGUA EDITION

accepts no responsibility for lost or stolen items. THE NICARAGUA EDITION reserves the

right to refuse any participant or potential participant at its sole discretion.

Assumption of Risk: You acknowledge that the enjoyment and excitement of

adventure travel is derived in part from the inherent risks incurred by travel and activity

beyond the accepted safety of life at home or work, and that these inherent risks

contribute to such enjoyment and excitement, and are reasons for your voluntary

participation. Therefore, I (CLIENT) acknowledge that I am aware of the inherent

hazards and risks associated with participating in the THE NICARAGUA EDITION retreat,

including those associated with travel, and adventure tours.

Inherent hazards and risks include, but are not limited to, risk of injury or death from:

motor vehicle collisions, hazardous hiking conditions including uneven surfaces, narrow

trails, unpredictable hazards and conditions; slips, and falls, consumption of alcoholic

beverages, tainted food, or non-potable water; possible equipment failure and/or

malfunction of my own or other's equipment; exposure to the elements, including heat,

cold, sun, water, and wind; my own negligence and/or the negligence of others,

including tour guides, other guests, THE NICARAGUA EDITION employees, agents and/or

representatives; misjudgment of terrain, weather, trails, and route location; high altitude;

attack by or encounter with insects, reptiles, snakes, and/or animals; accidents or illness

occurring in remote places where there are no available medical services; fatigue, chill,

overhearing, and/or dizziness, which may diminish my own reaction and increase the

risk of accident; negligence with regards to equipment, known or unknown medical

conditions, physical excursion for which I am not prepared or other such accidents; the

negligence or lack of adequate training of any agents or employees of LIKEMINDED

RETREAT who seek to assist with medical or other help either before or injuries have

occurred; accident or illness without access to means of rapid evacuation or availability

of medical supplies or services; and the adequacy of medical attention once provided.

Where the guest occupies a motor coach seat fixed with a safety belt and operated by

an agent of THE NICARAGUA EDITION or a 3rd party provider, neither THE NICARAGUA EDITION nor the operator nor its agents or cooperating organizations or service

providers will be liable for any injury, illness or death or for any loss or damages or

claims whatsoever arising from any accident or incident, if the safety belt is not being

worn at the time of such an accident or incident. This exclusion and limitation of liability

shall not be used to imply that the Operator or its agents or affiliated are liable in other

circumstances.

I understand the description of these risks is not complete and that unknown risks may

result in injury, illness, or death. I agree to be responsible for my own well being and

negligence. I freely and voluntarily assume complete personal responsibility for these

risks and for the injuries or death that may occur as a result of these risks, even if such

injuries or death occur in a manner that is not foreseeable at the time this agreement is

Signed.

Release: I hereby release and hold harmless with respect to any and all injury, disability,

death, or loss or damage to person or property, whether caused by negligence or

otherwise, THE NICARAGUA EDITION , its employees, tour guides, team members,

facilitators, subcontractors, shareholders, subsidiaries, affiliates, officers, directors,

successors, agents, and assigns. Furthermore, without limitation, THE NICARAGUA EDITION is not responsible for any injury, loss, or damage to person or property,

death, delay or inconvenience in connection with the provision of any goods or services

occasioned by or resulting from, but not limited to, acts of God or force majeure,

pandemics and epidemics, acts of war or civil unrest, or revolt, strikes or other labor

activities, criminal or terrorist activities of any kind, overbooking or downgrading of

accommodations, mechanical or other failure of airplanes or other means of

transportation or for any failure of any transportation mechanism to arrive or depart, I

agree that this release shall be legally binding upon me personally, all members of my

family and all minors traveling with me, my and their heirs, successors, assigns, and

legal representatives, it being my intention to assume all the risks associated with this

trip and to release THE NICARAGUA EDITION from any and all liabilities to the maximum

extent permitted by law.

By entering into this Agreement, I am not relying on any oral or written representation or

statements made by THE NICARAGUA EDITION , other than what is set forth in this

Agreement.

Medical Treatment: I understand that THE NICARAGUA EDITION has no responsibility to

provide medical care to participants, and has made no offer or promise to do so. I

authorize THE NICARAGUA EDITION to obtain medical care on my behalf and/or to

transport me to a medical facility, if necessary, and I hereby release THE NICARAGUA EDITION from any and all liability arising from its obtaining medical care on my behalfor transporting me to a medical facility. I further agree to pay all costs associated with

such care or transportation. Without limiting any of the foregoing, I waive any claim that

I or anyone on my behalf may bring against THE NICARAGUA EDITION with regard to

medical care and the provision or failure to provide such care.

Indemnification: I agree to indemnify THE NICARAGUA EDITION from any and all claims

made against it based on my actions, and/or breach of its Terms and Conditions.

Severability: If any provision of these terms and conditions shall be held

unenforceable, such provision shall be struck and the remainder shall remain

Enforceable.

Testimonial and Photo Release: In consideration of good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, I, the undersigned

(CLIENT) hereby grant to THE NICARAGUA EDITION and its agents the right to use my

name, biographical information, photographs, images, story, and/or testimonial, in whole

or in part, and without restriction as to changes or alterations. The rights granted herein

shall extend in perpetuity, unless revoked in writing to THE NICARAGUA EDITION by me,

throughout the world and for any purpose whatsoever, including without limitation for

marketing and advertising purposes of THE NICARAGUA EDITION , and in any and all

media, including without limitation THE NICARAGUA EDITION’S website and social media

channels. I acknowledge that THE NICARAGUA EDITION has no obligation to return any

photographs or images to me.

I hereby RELEASE, WAIVE and FOREVER DISCHARGE any and all claims arising out

of, or in connection with, such use by THE NICARAGUA EDITION , Prana One LLC and Natasha Ibrahim, including without limitation any and all claims for libel or

invasion of privacy.

I hereby warrant and represent that I am at least 18 years of age and have the right to

contract in my own name. I have read the above Terms & Conditions and am fully

familiar with the contents thereof. This document contains the entire agreement

between the parties as to the subject matter contained herein.

Law and Jurisdiction: This agreement will be governed by civil laws of The United States of America. In settling any dispute regarding the interpretation and/or enforcement of the provisions of this Agreement, both parties submit to the jurisdiction of the Courts and Tribunals of Texas, USA expressly waiving any other jurisdiction to which they may be entitled.

*I have read, understood, and agree to the Terms and Conditions. I understand that my acceptance of these terms constitutes a legally binding agreement and is the electronic equivalent of my handwritten signature.
